Terms and Conditions for Access and Usage of the Platform and Services provided by Kodo Technologies Private Limited (“Kodo”):

1. Introduction and Acceptance:
We, the Investor ("User," “Client," “Corporate,” “Entity,” “We,” “Us”), through our Authorized Users (“Primary Owner" and "Authorized Personnel”) desire to access and use the online platform ("Platform") and avail the services provided by Kodo, acting as an AMFI-registered Mutual Fund Distributor (“MFD”) (ARN: 354182). By accessing the Platform, we hereby agree to be legally bound by the following terms and conditions:

By clicking “I accept the terms & conditions on behalf of the Entity,” I/we acknowledge that we have read and understood the Terms and Conditions contained herein and as available at www.kodonorth.com, and agree to be legally bound by them at all times. All transactions done through the Platform shall at all times be bound by the terms and conditions contained herein and on the Platform. Our continued usage of the Platform shall at all times be deemed to be our acceptance of the terms and conditions contained herein and on the Platform. Kodo reserves the right to change the Terms and Conditions at any time, without notice, and the revised Terms and Conditions shall be posted on the Platform from time to time. We acknowledge that our continued usage of the Platform shall at all times be deemed to be acceptance of the terms and conditions as may be in force.

2. Platform Access:
We acknowledge and agree that the individuals designated as the Primary Owner(s), being the persons authorized by the Board of Directors of the Company pursuant to the provisions of Section 179 of the Companies Act, 2013 (‘the Act’) and onboarded on the Platform, shall have the authority to access and manage the Company's account, configure and manage approval workflows, undertake and complete risk profiling, approve and execute transactions, invite or remove users (“Authorized Personnel”), and manage or modify their roles and permissions on the Platform on behalf of the Company.

We further acknowledge that any actions performed, permissions granted, workflows configured, or Authorized Personnel invited by the Primary Owner shall be deemed to have been undertaken with the full authority of the Company, and Kodo shall not be required to obtain any additional Board Resolution, authorization, mandate, or physical documentation in respect of such actions. We accept the inherent risk of this delegation feature.

Notwithstanding the foregoing, any appointment, replacement, removal, or change of the designated Primary Owner shall require the submission of a fresh, duly certified Board Resolution or such other documentation as may be required by Kodo. It shall be the sole responsibility of the Company to promptly notify Kodo of any such change.

3. Sole Responsibility of Client:
We acknowledge that access to the Platform is governed strictly by User IDs and Passwords. We hereby irrevocably authorize Kodo and its Service Providers to act upon any Electronic Instructions given by us through the User ID and Password. We explicitly confirm that Kodo is not in a position to physically or electronically verify the identity of the person using the Platform or verify internal authority, and thereby shall not be responsible, nor shall be held liable, for any transactions done by the Authorized Users fraudulently, inappropriately, or in misuse of the authority granted by us, or by any other person using the credentials of the Authorized Users. Therefore, any electronic instruction, transaction (Subscription, Redemption, Switch, etc.), or administrative action done through the Platform by the Authorized Users using their credentials shall be deemed to have been carried out by us and shall be strictly and legally binding upon us. We shall be fully liable to Kodo and/or the AMC/Mutual Fund or their Affiliates for every transaction entered into using the Platform via the credentials of Authorized Users, whether with or without our knowledge. We represent and warrant that all investments made through the Platform are duly authorized and are in compliance with all applicable laws, corporate approvals, internal policies, and investment limits applicable to the Client. Kodo shall not be responsible for independently verifying the existence of any approvals or compliance with any statutory or internal investment limits.

4. Pending KYC:
Online transactions where the KYC process is pending shall be accepted by and passed on to the specific AMC/RTA, who may, at their sole discretion, decide whether or not to process the transaction due to the pending KYC status. We will not hold Kodo liable for such non-acceptance by the specified AMC/RTA. Online transactions for Clients who have not provided Additional KYC and FATCA are liable to be rejected.

5. Additional Information:
We agree that Kodo reserves the right to seek any additional information/confirmation (oral/written) as it may deem necessary to authenticate a transaction.

6. Suspension of Services:
Kodo may, in its absolute discretion, suspend the Services/Platform access granted, or decide not to carry out any such transaction where the KYC requirements are incomplete or incorrect, where transactions are designed in a manner to violate any law, where any information submitted to Kodo or instructions are incomplete, false, or misleading, or where it has reason to believe that the Electronic Instructions are not genuine, are unclear, or are otherwise improper and cannot be put into effect. Furthermore, Kodo may suspend or terminate access to the Platform at its absolute discretion.

7. Best Effort Basis & System Limitations:
Kodo only provides a technological facility to route transactions to various Mutual Funds/AMCs. The respective Mutual Fund/AMC, at its discretion, may accept or reject any transaction. We shall not hold Kodo liable for any loss, damage, etc., arising from the rejection of transactions by the Mutual Fund/AMC. Further, all transactions will be governed by the rules of the individual Mutual Fund/AMC as stated in their Scheme Information Documents, and therefore submission of a transaction and time stamping on the Kodo Platform should not be deemed a guarantee of acceptance and processing of the transaction by the Mutual Fund/AMC. Kodo shall endeavor to give effect to Electronic Instructions on a best-effort basis within the ambit of SEBI Regulations. Kodo shall not be liable for any delay or failure to execute instructions due to technical errors, network failures, downtime of AMC/RTA servers, or any force majeure events beyond Kodo's control.

Kodo agrees to make its best efforts to protect the security of the data placed on the Internet; however, we agree that transmitting data/information over the Internet may be subject to compromise/breach, and that the risk of any loss of information or interception of information by any third party will be borne by us, and that Kodo shall not be liable for the same.

Kodo reserves the right, at its sole discretion, without any obligation and without any notice requirement, to change, improve, or correct the information, materials, and descriptions on the Platform, and to suspend and/or deny access to the Platform for scheduled or unscheduled maintenance, upgrades, improvements, or corrections. Kodo may discontinue or change any product, service, or online user account described in or offered on its Platform, or in any modules or parts thereof, at any time.

8. Confidentiality of Credentials:
Our Authorized Users shall be solely responsible for maintaining the strict confidentiality of their respective User IDs, Passwords, and OTPs. We shall take all necessary precautions to prevent the discovery of these credentials by any unauthorized persons. In no event shall we hold Kodo liable or responsible for any online transactions undertaken through the usage of the User ID and Password.

9. Cut-off Time and NAV Applicability:
All transactions submitted through the Platform shall be subject to the cut-off timings and processing requirements prescribed by the applicable AMC, RTA, SEBI, applicable regulations, and as contained in various scheme documents and addenda thereto of respective schemes. The Platform may prescribe an internal cut-off time earlier than the cut-off time mentioned by SEBI/RTA/AMC and/or as mentioned in the SID/KIM for operational purposes. Applicable NAV, transaction date, and processing shall be determined solely by the concerned AMC and/or relevant intermediary. Kodo shall not be responsible for any delay, rejection, change in NAV applicability, or non-processing arising from late submissions, fund realization delays, technical issues, or any other circumstances. Transactions received on a non-business day will be treated as received on the next business day.

All current rules with regard to NAV applicability shall apply to the transactions done online through the Platform. In case of transactions where the availability of funds for utilization/time of credit is considered for applicability of NAV, the time of availability of funds for utilization/credit of funds to the AMC accounts will be considered for NAV applicability.

The time stamping for online transactions would be the Kodo server timings upon submission of the transaction by us. In case payment is made through Net Banking, the time stamp would be upon successful confirmation of receipt of payment to the AMC accounts.

10. Indemnity:
We hereby agree to indemnify and hold harmless Kodo, the respective Mutual Funds, AMCs, Trustees, and RTAs, along with their officers, employees, directors, successors, and assigns, against any and all claims, damages, losses, actions, liabilities, costs, and expenses arising out of or in relation to:

  • Any unauthorized use of the Platform via our User IDs and passwords.

  • Actions taken by Kodo or the AMC in good faith based on the electronic instructions received from our Platform.

  • Any breach of these Terms and Conditions and Terms of Use (available at www.kodonorth.com) by our Authorized Users.

  • Any inaccuracy or omission in information provided by our Authorized Users.

  • Any claim by a third party arising from instructions or transactions submitted through the Platform.

  • Any losses arising from a violation of any laws by us.

  • Any damages or losses arising from any claims due to non-compliance or violation of the Terms and Conditions.

  • Any dispute regarding the eligibility, validity, and authorization of our transactions.

11. Limitation of Liability and Disclaimer of Warranties:
The information, products, and services on the Platform are provided on an "AS IS" BASIS. Kodo expressly disclaims any implied warranties, including, but not limited to, warranties of title, non-infringement, merchantability, accuracy, or fitness for a particular purpose. Kodo makes no warranty, either express or implied, nor gives any guarantee to you concerning the uninterrupted availability of the Platform or the accuracy of the information available on it. We agree that under no circumstances shall Kodo Technologies Private Limited, its directors, employees, or agents be held liable or responsible for:

  • Any unauthorized, fraudulent, or erroneous transactions executed by our Authorized Users.

  • The misuse of platform authority by any Authorized User who was granted access to the Platform. Further, neither the AMC/Mutual Fund nor Kodo shall be liable at all for misuse, if any, of any data placed on the Internet by third parties, "hacking," or unauthorized access. Kodo will not be liable for any: (a) failure to act upon Electronic Instructions, (b) non-adherence to electronic instructions by Kodo, or (c) failure to provide any facility for any cause that is beyond the control of Kodo.

  • Any internal disputes within our Company regarding who initiated a transaction. We assume complete financial and legal responsibility for all orders executed through the Platform by anyone holding active credentials linked to our account.

  • Any damages, injuries, or financial loss arising out of or in connection with the use of the Platform or its non-use, including non-availability or failure of performance, loss or corruption of data, loss of or damage to property (including profit and goodwill), work stoppage, computer failure or malfunctioning, or interruption of business; error, omission, interruption, deletion, defect, delay in operation or transmission, communication line failure, or for any failure to act upon Electronic Instructions or to provide any facility for any cause that is beyond the control of Kodo.

  • Any losses or damages arising from market fluctuations or investment losses.

  • Any losses or damages arising from delays, failures, interruptions, or errors in transaction processing.

  • Any losses or damages arising from rejection or non-processing of transactions by AMCs, RTAs, banks, payment partners, or other intermediaries.

In no event will the AMC/Mutual Fund, Kodo, or their agents/service providers be liable to us for any special, direct, indirect, consequential, or incidental loss or damages which we may suffer or incur, whether or not we have been advised of any such possibility by the AMC/Mutual Fund, Kodo, or its agents/service providers.

12. Proprietary Rights:
We hereby acknowledge that all rights, title, and interest in the Platform and any content, as well as the design and information contained in the Platform, is the exclusive property of Kodo, except as otherwise stated. The permission given by Kodo to access the Platform will not convey any proprietary or ownership rights in the software. We agree not to attempt to modify, translate, disassemble, decompile, or reverse engineer the software underlying the Platform of Kodo, or create any derivative product based on the software. We further agree not to use the name, logo, or mark of Kodo or any of the AMCs/Mutual Funds (or any logo or mark similar thereto), and any related patent, trademark and service mark applications, design rights, copyrights, and all or any similar or equivalent rights arising or subsisting in any country in the world.

Certain data, ratings, classifications, scores, and other information available on the Platform are sourced from Value Research. Such data remains the intellectual property of Value Research, and no ownership rights therein are claimed by the Platform or its users.

13. Bank Charges and Payouts:
We agree to bear the bank charges, if any, towards electronic fund transfers or any other transactions carried out through our bank account. The payout proceeds—subject to the deduction of exit load, STT, TDS (if applicable), and any other taxes or deductions as applicable—would be paid out to us into our default bank details registered under our account or any other registered bank details specified by us, within the payment timelines of the respective scheme(s).

14. Platform Fees:
Kodo may charge fees for certain features and functionalities offered through the Platform. Details of such fees shall be displayed on the Platform and may be revised from time to time. Any fees charged are solely towards access to and use of the Platform and related technology services, and are separate from, and not charged for, mutual fund distribution services.

15. Commissions:
We acknowledge that Kodo, acting as a Mutual Fund Distributor, earns trail commissions from the respective AMCs for the schemes distributed.

16. Privacy and Data Usage:
We authorize Kodo to provide to third parties such transaction/account details as may be necessary in order to give effect to our online instructions, or in order to comply with the order of any court, government agency, or lawful authority, or in order to ensure compliance with any laws/regulations in any jurisdiction. We further authorize Kodo to collect, store, process, verify, and share information and documents provided by us with AMCs, RTAs, payment partners, KYC registration agencies, regulators, and other authorized entities for the purpose of providing Platform services and complying with applicable laws. We acknowledge and agree that communications, transaction records, and account-related information may be maintained electronically and may be used for audit, compliance, dispute resolution, and regulatory purposes.

17. Investment Risks and No Investment Advice:

  • Past performance of any scheme, fund, asset class, or investment strategy does not guarantee future performance.

  • Any information, research, analytics, calculators, projections, illustrations, portfolio views, or other content made available through the Platform is provided solely for informational purposes and should not be construed as investment, legal, tax, accounting, or financial advice. Before making any investment decision, we must independently assess the associated risks and exercise our own judgment and/or seek professional advice for evaluating the suitability, appropriateness, and risks associated with any investment decision. The suitability of any investment may vary based on an individual's financial circumstances, objectives, and risk profile.

  • We acknowledge that Kodo does not guarantee any returns, performance, capital protection, or achievement of investment objectives.

  • We acknowledge that transaction confirmations, account statements, portfolio valuations, reports, and other information displayed on the Platform may be based on information received from third-party sources and may be subject to delays, revisions, or corrections. Kodo does not claim responsibility for reports or publications released by third parties.

18. Force Majeure:
Kodo (including its directors, employees, affiliates, agents, representatives, or subcontractors) shall not be liable if any transaction does not fructify or cannot be completed due to prevention of performance or delay by a Force Majeure Event, and in such case, its obligations shall be suspended for so long as the Force Majeure Event continues. "Force Majeure Event" means any event due to any cause beyond the reasonable control of Kodo, including without limitation, unavailability of any communication systems, breach or virus in the processes, sabotage, fire, flood, explosion, acts of God, civil commotion, strikes or industrial action of any kind, riots, wars, pandemics/epidemics, insurrection, computer hacking, etc.

19. Adherence to Laws:
We shall not use the Platform to conduct any transactions designed to contravene any provisions of law, including but not limited to FATCA, the Prevention of Money Laundering Act (PMLA), the Income Tax Act, FEMA, SEBI guidelines, or the provisions of the respective SID/KIM and addenda thereto, particularly the guidelines relating to Third Party Payment and Applicability of NAV. These Terms and Conditions are subject to the Securities and Exchange Board of India (Mutual Funds) Regulations, 1996, and guidelines issued thereunder as amended from time to time, as well as other laws, rules, and regulations issued by the Government of India relating to Mutual Funds and the provision of the Platform/Services.

20. No Solicitation:
Nothing in the Terms and Conditions or on the Platform shall be considered a solicitation to buy, an offer to sell, or a recommendation for a security, or any other product or service, to any person in any jurisdiction where such solicitation, offer, recommendation, purchase, or sale would be unlawful under the laws of that jurisdiction.

21. Notice and Communications:
We agree that even though our Mobile No. may be registered under the National Do Not Call Registry (NDNC), we explicitly permit Kodo to send various communications, updates, alerts, and notifications, and the same shall not be considered a breach of any TRAI Regulations/Guidelines.

Any notice, communication, or documents required to be given by either Party to the other may be given by personal delivery, courier, or registered post at the registered office of Kodo, or by email to support@kodonorth.com, and if to the investor, at the registered address or email ID as per Kodo’s records.

22. Client Representations and Warranties:

  • We acknowledge and agree that all records of Kodo, whether maintained in electronic form, magnetic medium, documents, or any other form with respect to Electronic Instructions received for/through the use of the Platform, shall be conclusive evidence of the same and shall be binding on us.

  • We agree that no forbearance, delay, or failure on the part of Kodo or the AMC/Mutual Fund to exercise any power or right under these Terms and Conditions shall operate as a waiver of such power or right, nor shall any single or partial exercise of such power or right preclude any further exercise of that or any other power or right.

  • We represent and warrant that we are eligible Investor(s) as per the respective Scheme-related documents and are authorized to make this investment as per our constitutive documents/authorization(s). We will carefully read and understand the contents of the respective Scheme Information Document(s), Statement of Additional Information(s), Key Information Memorandum(s), Instructions, and Addenda issued by the respective Mutual Funds, including the level of risk, before investing.

  • We represent and warrant that the amount invested in the respective Scheme(s) is through legitimate sources only and is not for the purpose of contravention and/or evasion of any act, rules, regulations, notifications, or directions issued by any regulatory authority in India.

  • We agree that the look and feel of the web screen and outputs therefrom may differ based on the nature of the software used by us to browse the Platform.

  • We shall not hold Kodo liable for any act of non-adherence to Electronic Instructions, or the lack of availability of the Platform, if Kodo is, for any reason whatsoever, unable to provide the said service.

  • We hereby confirm that we have not been offered/communicated any indicative portfolio and/or any indicative yield by the fund/AMC/its distributor for any investments done through the Platform.

23. Grievance Redressal:
Any queries, complaints, or grievances relating to the Platform may be submitted through the contact details provided on the Platform or by writing to support@kodonorth.com. Kodo shall make reasonable efforts to address and resolve such queries, complaints, or grievances in a timely manner and in accordance with applicable laws and internal policies.

24. Governing Law:
The provision of the services/Platform is subject to and governed by the laws of India. The Courts in Mumbai shall have exclusive jurisdiction over all disputes arising out of or in respect of the Terms and Conditions. The Platform and all Online Transactions carried out through the Platform are subject to the Terms and Conditions of the Scheme Information Documents of the schemes of various Mutual Funds, read with the addenda issued from time to time.
